Terms of Service

1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you and Pont Digital Inc. (“Pont Digital”, “we”, “us”, or “our”) regarding your access to and use of the AI Agent Portal and related websites, applications, and services (collectively, the “Service”), including any integration with QuickBooks Online.
By creating an account, accessing the Service, or connecting a third-party product such as QuickBooks Online, you agree to these Terms and our Privacy Policy . If you do not agree, do not use the Service.
2. The Service
The Service provides AI-assisted tools and workspaces for business productivity, including features that may analyze accounting and financial information when you choose to connect QuickBooks Online.
We may modify, suspend, or discontinue features with reasonable notice when practicable. We do not guarantee uninterrupted or error-free operation.
3. Eligibility and accounts
- You must be able to form a binding contract and use the Service only for lawful business purposes.
- You are responsible for the accuracy of account information and for safeguarding credentials.
- You are responsible for activity under your account, including actions by users you invite.
- Notify us promptly of any unauthorized access at support@pont-digital.ca.
4. Acceptable use
You agree not to:
- Violate applicable laws or third-party rights
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems
- Reverse engineer, scrape, or overload the Service except as allowed by law
- Upload malicious code or content that is unlawful, harmful, or infringing
- Misrepresent your relationship with Intuit, QuickBooks, or Pont Digital
- Use QuickBooks Online data obtained through the Service for purposes other than those authorized in the product and our Privacy Policy
5. Subscriptions, plans, and payment
Some features require a paid plan. Pricing, currency, billing intervals, and included features are described in the Service at the time of purchase. Fees are non-refundable except where required by law or expressly stated otherwise. We may change plans or pricing with notice; continued use after the effective date constitutes acceptance of the change for subsequent billing periods.
6. QuickBooks Online integration
6.1 Independent relationship with Intuit
Pont Digital is an independent provider. The Service is not a product of Intuit Inc. Nothing in the Service implies that we are an Intuit Partner, preferred developer, exclusive developer, or that Intuit endorses Pont Digital. Where we describe our developer status, we use only permitted phrasing such as “Member of the Intuit Developer Program.”
6.2 Your authorization
By connecting QuickBooks Online, you authorize Pont Digital to access your QuickBooks company data via Intuit’s APIs using the permissions you grant through Intuit’s OAuth consent screen. You represent that you have authority to grant that access for the QuickBooks company you connect.
6.3 What the integration does
The integration is intended to read accounting and related company data so the Service can sync reports, generate financial insights, power CFO workspace features, and (where available) help you prepare exports such as suggested bank rules for manual import by you into QuickBooks Online. The Service is designed not to write transactions, journal entries, or other bookkeeping changes directly into your QuickBooks Online company.
6.4 Your responsibilities
- Review insights, categorizations, and exports before relying on them or importing anything into QuickBooks Online
- Keep your QuickBooks Online subscription and Intuit account in good standing
- Disconnect the integration if you no longer want Pont Digital to access your QuickBooks data
- Comply with Intuit’s terms, policies, and any applicable accounting or regulatory obligations
6.5 No Intuit warranty
Intuit is not a party to these Terms and is not responsible for the Service. Your relationship with Intuit remains governed by Intuit’s own agreements and privacy statements.
6.6 Trademarks
Intuit and QuickBooks are registered trademarks of Intuit Inc. Used with permission. You may not use Intuit or QuickBooks marks in a way that suggests endorsement by Intuit except as allowed by Intuit’s brand guidelines.
7. AI-generated output
Features of the Service may use artificial intelligence to generate text, analysis, categorizations, or recommendations. AI output may be incomplete, incorrect, or outdated. You are solely responsible for verifying results before making business, financial, tax, or accounting decisions. The Service does not provide formal accounting, tax, legal, or financial advice.
8. Intellectual property
Pont Digital and its licensors own the Service, including software, branding, and documentation. You retain ownership of content you submit. You grant Pont Digital a worldwide, non-exclusive license to host, process, and display that content solely to operate and improve the Service as described in the Privacy Policy.
9. Confidentiality and customer data
We will handle customer data, including QuickBooks Online data you authorize, in accordance with our Privacy Policy and applicable law. You must not use the Service to process data you are not legally entitled to share with us.
10. Third-party services
The Service may interoperate with third-party products (including Intuit QuickBooks Online and AI providers). We are not responsible for third-party services, outages, API changes, or their terms. If a third-party integration is unavailable or revoked, related features may stop working.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PONT DIGITAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUTS OR FINANCIAL INSIGHTS WILL BE ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC ACCOUNTING OR COMPLIANCE REQUIREMENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PONT DIGITAL AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO PONT DIGITAL FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
13. Indemnification
You will indemnify and hold harmless Pont Digital from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service, your content, your QuickBooks Online connection, or your violation of these Terms or applicable law.
14. Suspension and termination
You may stop using the Service at any time and may disconnect QuickBooks Online from your account settings where available. We may suspend or terminate access if you breach these Terms, create security risk, or fail to pay fees. Upon termination, your right to use the Service ends; provisions that by nature should survive (including intellectual property, disclaimers, limitations, and indemnity) will survive.
15. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date will change when we do. Continued use after changes become effective constitutes acceptance of the revised Terms.
16. Governing law
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Courts located in Quebec, Canada will have exclusive jurisdiction, except where mandatory consumer protections require otherwise.
